The Endeavor Health Terms of Use (“Terms”) describes the rules you agree to when you use our websites, patient portals, mobile apps or other digital services.

Please review our Terms as they contain certain obligations and responsibilities that may affect your legal rights and ability to use the Endeavor Health Digital Services. By accessing the Endeavor Health Digital Services, you agree and consent to comply with and be bound by these Terms. If you do not agree and consent to the Terms and the Privacy Statement, please do not use or access the Endeavor Health Digital Services. You must follow instructions to discontinue certain Endeavor Health Digital Services Communication Preferences, which will be provided in the communication (e.g. “opt-out” or “unsubscribe” processes) if applicable.

 

Definitions

We use common language and definitions to help you understand important terms throughout the Privacy Statement and Terms of Use.

  • “Terms” — Refers to this Endeavor Health Terms of Use.
  • “Endeavor Health”, "EH", “We”, “Our” or “Us” — Endeavor Health includes our hospitals (Edward Hospital, Elmhurst Hospital, Evanston Hospital, Glenbrook Hospital, Highland Park Hospital, Linden Oaks Hospital, Northwest Community Hospital, Skokie Hospital and Swedish Hospital), our subsidiaries and associated entities.
  • “Endeavor Health Digital Services” — Collectively refers to the following digital experiences and services that are owned by, operated and/or managed by or for Endeavor Health:
    • “Endeavor Health Websites” — Our websites include, but are not limited to, endeavorhealth.org, northshore.org, eehealth.org, nch.org and swedishcovenant.org.
    • “Endeavor Health Patient Portals” or “Patient Portals” — Our patient portals allow patients to access their medical records, schedule visits and more using a web browser or mobile app. Our patient portals include, but are not limited to:
    • “Other Endeavor Health Mobile Apps” — Separate from our patient portal’s mobile apps, we manage and offer additional mobile apps for our patients, team members and communities.
    • “Endeavor Health Additional Digital Services” or “Additional Services” — We, through our Contracted Vendors and Third Parties, also provide the following services, digital offerings and tools, including, but not limited to: customer service; technical support; QR codes; chatbots; search tools; social media platforms, clinician profiles; location listings; digital signage; and subscriptions, reminders, alerts, notifications, and marketing messages using Your Communication Preferences.
  • “Communication Preferences” – Communication methods that include but are not limited to direct mail, SMS text messages, emails, voice or telephone calls, Endeavor Health Patient Portals and mobile app push notifications.
  • “You” or “your” — You, regardless of being an individual, a group or an organization, and regardless of whether you are using Endeavor Health Digital Services on behalf of yourself or someone else.
  • “Your Information” — Collectively refers to an individual’s personally identifiable information (“PII”), non-personally identifiable information (“PII”) and/or protected health information (“PHI”).
  • Protected health information (“PHI”) — Any information regarding an individual's medical history, mental or physical condition, or medical treatment or diagnosis by a healthcare professional, including such information provided to a website or mobile application.
  • “Content” — Refers to text, marks, information, images, photos, illustrations, data sets, graphics, user interfaces, artworks, logos, videos, audio, infographics, interactive media, AR/VR content, screenshots, screen recordings, animations, motion graphics, webpages, directories, listings, databases, and search engines. Includes downloadable or streaming content such as PDFs, presentations, spreadsheets, audio files and video files.
  • “Independent Provider” — An individual clinician and/or a group practice of clinicians who practice independently and are not employees or agents of Endeavor Health but may be credentialed and contracted to provide certain healthcare services at Endeavor Health and also may license Endeavor Health Digital Services to use in their practice.
  • “Contracted Vendor” — Any party that is contracted with Endeavor Health to provide products and/or services, including but not limited to health services and operational services.
  • “Third Party” or “Affiliate” – Any party that is not directly contracted with Endeavor Health to provide products and/or services but may provide a no fee service that is used by Endeavor Health, such as social media platforms.
  • “Social Media Platforms” — Refers collectively to independently operated web experiences, websites and/or mobile apps such as Facebook, Instagram, LinkedIn and YouTube, as well as other platforms that enable us to provide our Social Media Channels.
  • “Endeavor Health Social Media Channels” or “Social Media Channels” — Refers to the Endeavor Health social media experiences, pages, profiles, and/or channels managed on Social Media Platforms.

While committed to providing you information about the services and treatment Endeavor Health provides, we provide the information via Endeavor Health Digital Services as a courtesy. By providing information via Endeavor Health Digital Services, Endeavor Health is not attempting to practice medicine, and use of the Endeavor Health Digital Services does not, by itself, establish a physician-patient relationship. The Endeavor Health Digital Services are designed for informational and educational purposes only. It should not be construed as medical advice nor used for diagnostic purposes. We do not intend the Endeavor Health Digital Services to be a substitute for medical advice specific to your situation. If you feel you have a health problem, please consult a medical professional.

By accessing the Endeavor Health Digital Services or using any of the features or services provided on the Endeavor Health Digital Services, you agree and consent to comply with and be bound by these Terms. You agree that you will not violate any local, state, federal or international laws in using the Endeavor Health Digital Services or accessing any material on the Endeavor Health Digital Services. If you violate any of our Terms, Endeavor Health reserves the right to prohibit, restrict or discontinue your access to certain or entire features within the Endeavor Health Digital Services. Endeavor Health also reserves the right to discontinue any of the Endeavor Health Digital Services either temporarily or permanently or discontinue any functionality on the Endeavor Health Digital Services at any time and without notice. Endeavor Health may modify these Terms at any time without notice. If you do not agree and consent to the Terms and the Privacy Statement, please do not use or access the Endeavor Health Digital Services. You must follow instructions to discontinue certain Endeavor Health Digital Services, which will be provided in the communication (e.g. “opt-out” or “unsubscribe” processes) if applicable.

Special terms may apply to some services offered by the Endeavor Health Digital Services, or to any features, promotions or activities that may be offered by the Endeavor Health Digital Services (the “Activities”). Such special terms (which may include official rules and expiration dates) may be posted in connection with the applicable service or Activity. By entering or participating in an Activity you will become subject to those terms or rules. We urge you to read the applicable terms or rules, which are linked from the particular Activity, and to review our Privacy Statement which, in addition to these Terms, governs any information you submit in connection with such Activity. Any such special terms or rules are in addition to these Terms and, in the event of a conflict, any such terms or rules shall prevail over these Terms.

While Endeavor Health believes in providing you with accurate information, Endeavor Health can only provide general information about Endeavor Health’s services and facilities. In other words, the information provided on the Endeavor Health Digital Services may not be cumulative or specific to your situation. Please do not delay or forgo seeking medical care from a physician or other qualified healthcare provider if you have questions, concerns or symptoms related to the information provided via Endeavor Health Digital Services.

Accounts, passwords and security

You are responsible for taking the necessary steps to ensure that no other person has access to your password or account. It is your sole responsibility to (1) control the dissemination and use of your account details, such as log usernames and passwords; (2) authorize, monitor and control access to and use of your password; (3) ensure your account details are kept updated and accurate; and (4) promptly inform Endeavor Health of any need to deactivate an account.

If your account or information has been compromised, please contact us immediately to report this incident.

Endeavor Health's use of your personal information and your responsibilities in connection with privacy is in accordance with our Privacy Statement and is incorporated into by reference into these Terms of Use.

Privacy

Endeavor Health is committed to protecting the individual privacy of our patients, team members and visitors. Please review our Privacy Statement to understand how Endeavor Health uses your personal information. You are also encouraged to review the Notice of Privacy Practices to understand how we collect and use your protected health information.

Eligible users of Endeavor Health Digital Services

Endeavor Health is committed to protecting the privacy of children and complies with the Children’s Online Privacy Protection Act. As such, the Endeavor Health Digital Services are not intended for or directed to children under the age of 13. If you are under the age of 18 (or under the age of majority set by the applicable laws of the State in which you are located), please do not use the Endeavor Health Digital Services without being supervised by a parent or legal guardian who agrees to be bound by these Terms. By using the Endeavor Health Digital Services, or by supervising someone using the Endeavor Health Site, you represent that you are at least 18 years old and have the full power and authority to enter into these Terms. If you are accessing or using the Endeavor Health Digital Services on behalf of another individual(s), you represent that you are authorized to accept these Terms on that person’s or entity’s behalf, and that person or entity agrees to be responsible to Us for your violation of these Terms.

License grant

Endeavor Health grants you a personal, revocable, limited, non-exclusive, non-transferable license to access and use the Endeavor Health Digital Services, provided you accept and comply with these Terms. You may use the Endeavor Health Digital Services for your non-commercial personal or educational use. Please do not use the Endeavor Health Digital Services for any other purpose.

License restrictions

Unless you receive Our prior written consent, you may not modify, translate, create derivative works of, copy, distribute, market, display, remove or alter any proprietary notices or labels from, lease, sell, sublicense, clone, transfer, decompile, reverse engineer, or incorporate into any information retrieval system (electronic or mechanical) any portion of the Endeavor Health Digital Services.

Please do not access or use the Endeavor Health Digital Services for any unauthorized or illegal purpose or activity, interfere with the proper working of the Site or interfere with any other person’s use and enjoyment of the Endeavor Health Digital Services.

If you are unable to comply with these restrictions, we may restrict your use of the Endeavor Health Digital Services, such as by suspending or terminating your ability to access all or part of the Endeavor Health Digital Services.

Intellectual property rights & license

Endeavor Health owns or licenses all the Endeavor Health Digital Services’ original content, materials, features and functionality (including, without limitation, text, marks, information, images, photos, graphics, artworks, logos, videos, audios, directories, listings, databases, and search engines) (the “Content”). Please be advised that the Content may be protected by copyright, trademark, or other intellectual property laws. For as long as you comply with these Terms, Endeavor Health grants you a limited, non-exclusive, non-transferable license (“Content License”) to use the Content solely for your non-commercial personal or educational use. The Content License does not include a right to: (1) sell or resell the Content; (2) copy or reproduce the Content for any purpose other than your non-commercial personal or educational use; (3) modify the Content; (4) remove any proprietary rights notices or markings, or otherwise make a derivative use of the Content; (5) use any data mining, robots or similar data gathering or extraction methods; and/or (6) use the Content other than for its intended purposes. Except for the express, limited Content License set forth in this paragraph, We reserve all other rights in and to the Content.

If you cannot comply with the limitations of the Content License, Endeavor Health may revoke or terminate your Content License. Any unauthorized use, reproduction or distribution of the Content is strictly prohibited and result in termination of the Content License, as well as potential civil and/or criminal penalties.

Sharing content

You may download, copy or otherwise use the Content and other downloadable items displayed on the Endeavor Health Digital Services (“Downloadable Content”) for non-commercial personal or educational uses. If you download, copy or otherwise use Downloadable Content, you are required to maintain all copyright, trademark and/or other notices contained therein. Copying or storing of any Content for purposes other than non-commercial personal or educational use is expressly prohibited without prior written permission from Endeavor Health. We may require you to stop using Downloadable Content should your use violate Endeavor Health’s policies, rights or cause interruption or deterioration of the Endeavor Health Digital Services or Content.

Submissions

You are solely responsible for the information that you post, share, email, transmit or otherwise make available via the Endeavor Health Digital Services (“Submission”). All Submissions are subject to these Terms. Endeavor Health is under no obligation to post or use any Submission and may remove any Submission at any time in its sole discretion.

By making a Submission, you represent and warrant that your Submission is true, accurate and not misleading; that you own all right, title and interest, including copyright, to your Submission, and that your Submission is your own original work; that your Submission does not include the trade secret or confidential information of others, and does not infringe any other person’s or entity’s rights; and that you and any other person or entity (or its owner) mentioned or shown in your Submission hereby release and hold harmless Endeavor Health and its designees from and against any and all claims concerning Endeavor Health’s or its designees’ use, modification or distribution of the Submission or any part thereof. You must hold all necessary releases, licenses and consents concerning the contents of your Submission and rights to post, distribute, or transmit your Submission.

You agree that you will evaluate and bear all risks associated with your Submission and any disclosure in your Submission. Submissions will be available to Endeavor Health Site users and to users of other websites and services.

By making a Submission, you grant Endeavor Health and its Contracted Vendors, associated entities, subsidiaries, licensees, assignees and designees an irrevocable, assignable, transferable, fully sub-licensable (through multiple levels of sublicensees), perpetual, world-wide, royalty-free, fully paid-up, non-exclusive license, in their sole discretion, to use, distribute, reproduce, modify, combine, adapt, publish, translate, rent, lease, sell, publicly perform, publicly display and create derivative works of your Submission (in whole or in part), along with your name or any part thereof, your city/town/village of residency, and other information from your user profile, in Endeavor Health’s sole discretion, via the Endeavor Health Digital Services or elsewhere, and to use or incorporate all or any part of your Submission into other advertising, promotion, marketing, review, recommendation, research, analysis or other materials in any format or medium now known or later developed. You hereby waive any right to inspect such use and waive, release, and hold Endeavor Health and its Contracted Vendors, associated entities, subsidiaries, licensees, assignees and designees harmless against any and all claims based on privacy, publicity, defamation, misappropriation, intellectual property or similar claims for any use of your Submission.

Endeavor Health Notifications

Through your Communication Preferences, We may offer the following Additional Digital Services to keep You updated on your relationship with Endeavor Health, including notifications about Your health, including appointments, procedures, diagnostic results, billing, other information about You, and other available Endeavor Health products and/or services (“Endeavor Health Notifications”) which may include minimum necessary PHI. Each of the Endeavor Health Notifications You use may be subject to additional terms of use you must agree to (e.g. see Mobile Text Messages below).

You can always modify Your Endeavor Health Notification preferences on your Patient Portal account. By providing Us with your email address, You agree to our Terms and You agree to automatically receive Endeavor Health Notifications, including marketing emails. Patient Portal emails will come from: info [at] my.endeavorhealth.org. Push notifications, which are turned on through Your Patient Portal account, are alerts sent to Your mobile phone or smart tablet device’s lock screen or notification center, even when You are not actively using the Endeavor Health Patient Portal.

Secure & Unencrypted Endeavor Health Notifications

The Endeavor Health Patient Portals use industry standard encryption technology to provide you with a secure messaging function (“Secure Messages”). This means that when You are logged into Your Patient Portal account and you choose to use Secure Messages to talk to and share Your Information and/or PHI with Your medical providers and non-medical staff, those messages will remain secure and private. While We take measures to safeguard your privacy, We cannot guarantee absolute security of Your Endeavor Health Patient Portal account against inadvertent disclosure or intentional intrusion.

When You agree to receive emails and/or SMS Text Messages from Us, You Agree that we may share the minimum necessary PHI to provide You with notifications about Your health, such as appointment follow ups, treatment reminders, patient surveys, and/or collection/billing matters. You understand these emails and/or SMS Text Messages from Us will be sent to the contact information You provide Us.

The risks associated with communicating Your PHI over emails and SMS text messages include but are not limited to the following:

  • Unauthorized access by third parties who can gain entry via unsecure public Wi-Fi;
  • work email account or work phone (work email address or work owned devices employer access);
  • shared family computer and smart devices; computer viruses shared by bad actors.
  • Emails and SMS text messages can be copied, backed up on servers, circulated, forwarded and stored, in numerous paper and electronic files.
  • Emails and SMS text messages can be accidentally broadcast worldwide and received by many unintended recipients.
  • Messages being sent to incorrect or outdated email addresses or mobile numbers.
  • Emails and SMS text messages can be intercepted, altered, forwarded, or used without written permission or detection.
  • Loss or theft of laptops, smart tablets, mobile devices used to receive messages.
  • Delays in delivery or failure of messages to be received.
  • Passwords providing access to email accounts or mobile phones or other smart devices can be stolen and misused, or host systems can be compromised, leading to unauthorized disclosures of PHI.

By agreeing and consenting to receive Endeavor Health Notifications, Endeavor Health cannot guarantee the security and confidentiality of such communications and will not be held liable for any improper disclosure and/or any unauthorized access of your PHI in e-mails, text messages or other Endeavor Health Notifications that we send to you. By agreeing and consenting to use and/or by using Endeavor Health Notifications, such as emails and SMS text messages, You understand the risks associated with sending PHI over such unencrypted Communication Preferences and despite these risks, You consent to receiving Your PHI using unencrypted email and/or SMS text messages.

If You no longer wish to receive e-mails and/or SMS text message or automated phone calls, You can modify your Communication Preferences in your Endeavor Health Patient Portal account or follow the instructions provided in the notification, if applicable. You understand that You are not required to agree to any Endeavor Health Notifications to be a patient of Endeavor Health.

Mobile Text Messages

Overview

Endeavor Health, or one of our authorized Contracted Vendors, may offer text messaging services/notifications (including Short Message Service or “SMS”, Multimedia Messaging Service or “MMS” messages, and push notifications, collectively “Text Messages”) for our patients, customers, donors, and guests. We offer a wide range of text messaging programs depending on the services We provide to You and how You choose to engage with Us (the “Endeavor Health Texting Services”). Endeavor Health uses Text Messages as a convenient way to communicate with You about:

  • Your health, such as test results, patient health maintenance follow-ups, patient education, operational updates (for example: appointment reminders), prescription reminders, and account/billing information;
  • News and event information;
  • Philanthropic information and opportunities; and
  • Marketing materials about services and offerings that may interest you.

Generally, you may be asked if you want to subscribe to one of our Endeavor Health Texting Services at any of Our patient registration desks, through our pre-registration call center. You may also subscribe to Endeavor Health Texting Services by subscribing through our Endeavor Health Websites, Endeavor Health Patient Portals, other web forms, emails, or by texting “START” to a specific short code. Whatever the process, You will need to provide Us with your mobile number to subscribe you to receive Text Messages. For Text Messages sent from Endeavor Health Patient Portals, please note that You can unsubscribe from or customize the Text Messages you receive by logging in to your account and managing your communication preferences.

Under the Healthcare Exemption of the TCPA (Telephone Consumer Protection Act), when You provide Us with your mobile number, You automatically provide consent to receive certain Text Messages about Your personal healthcare as part of your established relationship with Us. These notifications may be limited to Text Messages that are important in providing You with timely information specific to your personal healthcare needs. In addition to these terms, Telephone carriers (“Carriers”) require us to have terms of use connected to the specific short code that sends You Text Messages (“Short Code Terms”). In addition to agreeing to the terms in this section, You must also agree to these Short Code Terms for you to receive Text Messages from that short code. These additional Short Code Terms are found below in the Additional terms section below.

The specific Endeavor Health Texting Services we offer, and each of their specific terms of use and consent, are outlined below. The terms of use that apply to the Endeavor Health Texting Services vary depending on the services being provided and the information being shared. For more information on how we collect and use personal information please review our Privacy Statement.

BY SUBSCRIBING TO OR USING AN ENDEAVOR HEALTH TEXTING SERVICE, YOU ACCEPT AND AGREE TO THESE MOBILE TEXT MESSAGING TERMS OF USE. YOU ALSO ACCEPT AND AGREE TO THESE MOBILE TEXT MESSAGING TERMS OF USE THROUGH YOUR USE OF YOUR MYCHART PATIENT PORTAL ACCOUNT. When you subscribe to a particular Endeavor Health Texting Services, We may send you a confirmation message of your sign-up, also allowing you to reply “STOP” to no longer receive any Text Messages from that specific Endeavor Health Texting Service. Sending a “STOP” request must be completed separately for each Endeavor Health Texting Service or Contracted Vendor service to unsubscribe. Sending one “STOP” request will not create an unsubscribe for all Endeavor Health Texting Services and program short codes, enabling you to selectively decide what information you would like to receive. Consent to receive marketing text messages is not required as a condition of receiving any health care services. You must be age 18 or older to subscribe to and receive text messages; except where permitted under applicable state or federal law. If you do not agree with these Mobile Text Messaging terms, you must immediately cease using the Endeavor Health Texting Services and unsubscribe by texting “STOP” or as instructed below. You further represent and warrant that You are the authorized subscriber to the telephone number(s) You have provided above and that You have the authority to provide the consent described above at the number(s).

Text Messages from Contracted Vendors

Endeavor Health uses several Contracted Vendors to help provide our SMS Text Messaging services to patients and other members of our community. In some instances, we are permitted under the law to share your information with these Contracted Vendors, without your consent, to communicate with you directly about the care you receive, and regarding our healthcare services or operations. In other instances, depending on the care or services You receive from Endeavor Health, You may be asked to subscribe to receive Text Messages from Endeavor Health or a Contracted Vendor through that vendor’s SMS text message platform. These Contracted Vendors may provide texting services related to your care or other services, such as financial assistance information, billing information, medication prescriptions, health maintenance, appointments and scheduling. By subscribing to receive text messages from our Contracted Vendors, you acknowledge and agree that Endeavor Health may share limited personal information with these vendors, as necessary, to facilitate the text messaging services. This information may include your name, contact information, and care-related details relevant to the purpose of the communication. Mobile opt-in data will not be shared with Third Parties and/or Affiliates. The use and protection of your information by these Contracted Vendors will be subject to their respective privacy policies and terms. Depending on the Contracted Vendor texting service, you may be asked to separately consent to receive those Text Messages and agree to additional terms and conditions and privacy terms from that Contracted Vendor. Please review that information carefully before subscribing to these texts. Outside Third Parties may send Text Messages disguised as alerts from Endeavor Health and therefore You are urged to independently verify the authenticity of any Text Message that you receive. You hereby agree to release and hold harmless Endeavor Health and its designees from and against any claims concerning any SMS Text Messaging services from such Third Parties.

Additional Carrier terms for Endeavor Health Texting Services

Short code 23651: Endeavor Health Edward-Elmhurst Patient Portal

When you sign up for Endeavor Health Texting Services from Endeavor Health Edward-Elmhurst Patient Portal (short code 23651), you are signing up to receive text messages related to the care you receive from Endeavor Health and its healthcare associated entities, agents, Contracted Vendors, representatives, and the collaborating Epic Community Connect Independent Providers. From short code 23651, you will receive healthcare messages such as but not limited to: updates related to your visits, lab test results, notices about your Patient Portal account, one-time passcodes, billing notifications, prescription reminders and other healthcare management information.

You can unsubscribe from text messages by texting “STOP” to 23651. Your unsubscribe request will generate one final message confirming that you have been unsubscribed. You will no longer receive text messages from 23651. If you want to resubscribe to 23651, text “START” to 23651.

When you sign up for Endeavor Health Texting Services from NorthShoreConnect (short code 91356), you are signing up to receive text messages related to the care you receive from Endeavor Health and its healthcare associated entities, agents, contracted vendors, representatives, and the collaborating Epic Community Connect Independent Providers. From short code 91356, you may receive healthcare messages, including but not limited to: updates related to your visits, lab test results, notices about NorthShoreConnect account, one-time passcodes, prescription reminders and other healthcare management information.

You can unsubscribe from text messages by texting “STOP” to 91356. Your unsubscribe request will generate one final message confirming that you have been unsubscribed. You will no longer receive text messages from 91356. If you want to resubscribe to 91356, text “START” to 91356.

Short code 25064: Endeavor Health NorthShoreConnect Billing Information Messages

When you sign up for Endeavor Health Texting Services from NorthShoreConnect (short code 25064), you are signing up to receive text messages related to the care you receive from Endeavor Health, specifically, from short code 25064, You may receive messages about your billing including information about your balances, statements, payments, and more.

You can unsubscribe from text messages by texting “STOP” to 25064. Your unsubscribe request will generate one final message confirming that you have been unsubscribed. You will no longer receive text messages from 25064. If you want to resubscribe to 25064, text “START” to 25064.

Applicable law

These Terms and all matters regarding your use of the Endeavor Health Digital Services shall be governed by, construed in accordance with and enforced under the laws of the State of Illinois, without regard to choice of law principles. By accessing, browsing or using the Endeavor Health Digital Services, you agree that any action at law or in equity arising out of or relating to these Terms shall be filed only in the state and federal courts located in or otherwise covering DuPage County, Illinois. You hereby irrevocably and unconditionally consent and submit to the exclusive jurisdiction of such courts over any suit, action, or proceeding arising out of these Terms.

The Endeavor Health Digital Services are intended for use by individuals located in the United States. If you are outside of the United States and access the Endeavor Health Digital Services or submit your personal information to Us, please be advised that United States law may not offer you the same privacy protections as the law of your jurisdiction. If you visit the Endeavor Health Digital Services or contact Us from outside the United States, please be advised that: (1) any information you provide to Us or that We automatically collect will be transferred to the United States; and (2) that by using the Endeavor Health Digital Services or submitting information, you explicitly authorize its transfer to and subsequent processing in the United States in accordance with our Privacy Statement.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL ENDEAVOR HEALTH (INCLUDING ENDEAVOR HEALTH’S ASSOCIATED ENTITIES, SUBSIDIARIES, EMPLOYEES, OFFICERS, MEMBERS, OR TRUSTEES) NOR ANY OF ENDEAVOR HEALTH’S AGENTS, REPRESENTATIVES, SUPPLIERS, ADVERTISERS, CONTRACTORS, PROMOTIONAL PARTNERS, OR LICENSORS (EACH, A “ENDEAVOR HEALTH PARTY” AND COLLECTIVELY, THE “ENDEAVOR HEALTH PARTIES”) BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL OR PUNITIVE DAMAGES, HOWEVER CAUSED, REGARDLESS OF THE THEORY OF LIABILITY AND WHETHER OR NOT A ENDEAVOR HEALTH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, ARISING OUT OF OR RELATING TO: (1) THE USE OR INABILITY TO USE THE ENDEAVOR HEALTH DIGITAL SERVICES; (2) ANY CONTENT OR PRODUCTS AVAILABLE OR SOLD ON OR THROUGH THE ENDEAVOR HEALTH DIGITAL SERVICES; OR (3) ANY THIRD-PARTY CONTENT OR MATERIALS (INCLUDING USER CONTENT) OR THE DEFAMATORY, INFRINGING, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY. WHILE CERTAIN JURISDICTIONS DO NOT ALLOW THE LIMITATION OF LIABILITY OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SUCH LIMITATION MAY NOT APPLY TO YOU. IN ANY CASE, THE ENTIRE LIABILITY OF THE ENDEAVOR HEALTH PARTIES UNDER THESE TERMS FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION (WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE) IS LIMITED TO THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESS TO THE ENDEAVOR HEALTH DIGITAL SERVICES.

In the event you are dissatisfied with, or dispute, these Terms, the Endeavor Health Digital Services, and/or the Content, please terminate your use of the Endeavor Health Digital Services, as Endeavor Health has no other obligation, liability or responsibility to you.

ENDEAVOR HEALTH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. ENDEAVOR HEALTH DOES NOT REPRESENT OR WARRANT THAT MATERIALS ON ENDEAVOR HEALTH DIGITAL SERVICES ARE ACCURATE, COMPLETE, RELIABLE, CURRENT OR ERROR-FREE. ENDEAVOR HEALTH DOES NOT REPRESENT OR WARRANT THAT THE ENDEAVOR HEALTH DIGITAL SERVICES OR ITS SERVER(S) ARE FREE OF VIRUSES, WORMS, UNAUTHORIZED USERS OR HACKERS, “TROJAN HORSES” OR OTHER MALICIOUS SOFTWARE. ENDEAVOR HEALTH DOES NOT MAKE ANY WARRANTIES AS TO THE RESULTS THAT MAY BE OBTAINED FROM USE OF THE ENDEAVOR HEALTH DIGITAL SERVICES AND/OR SERVICES, OR ENDORSE, RECOMMEND OR MAKE ANY WARRANTIES AS TO THE ACCURACY, RELIABILITY OF ANY CONTENT, INFORMATION, MATERIALS, USER CONTENT, FEATURES, SERVICES, PRODUCTS OR STATEMENTS AVAILABLE ON OR THROUGH THE ENDEAVOR HEALTH DIGITAL SERVICES OR THROUGH LINKS ON THE ENDEAVOR HEALTH DIGITAL SERVICES. Indemnification

To the fullest extent permitted by law, you shall defend, indemnify and hold harmless the Endeavor Health Parties from and against all claims arising from or in any way related to your use of the Endeavor Health Digital Services and/or the Content, your violation of these Terms or any other actions connected with your use of the Endeavor Health Digital Services and/or the Content, including any liability or expense, losses, damages (actual and consequential), suits, judgments, litigation costs and attorneys’ fees. Endeavor Health will provide prompt written notice of any such claims, but failure to provide such notice will not release you from any of your obligations pursuant to this section, except to the extent that you are actually prejudiced by such failure, and will not relieve you from any other liability that You may have to the Endeavor Health Parties other than under this section.

Waiver

Endeavor Health’s failure to exercise or enforce any right or provision in these Terms shall not constitute a waiver of such right or provision.

Term and termination

These Terms will take effect at the time you begin using the Endeavor Health Digital Services. Endeavor Health reserves the right, with or without notice, and at any time and for any reason, to deny you access to the Endeavor Health Digital Services or to any portion thereof, and to terminate these Terms. These Terms, and the licenses and rights granted to you thereunder, will terminate automatically if you fail to comply with, or if We reasonably believe that you have not complied with, these Terms.

You may terminate our relationship under these Terms at any time by ceasing to access, browse, or use the Endeavor Health Digital Services, but all applicable provisions, rights, and remedies available to Endeavor Health under these Terms will survive such termination. Upon termination, please destroy all copies of any portion of the Endeavor Health Digital Services, including any Content, in your possession.

Severability

If a court of competent jurisdiction finds any provision of these Terms to be invalid, illegal, or unenforceable, such provision shall be enforced to the fullest extent of the law, and all other provisions shall remain in full force and effect.

Changes to these Terms

Endeavor Health reserves the right to revise these Terms at any time in Our sole discretion by posting revised Terms to the Endeavor Health Digital Services. Because your use of the Endeavor Health Digital Services signifies your acceptance of all the terms and conditions contained within the Terms in effect at the time of your use, We ask that you please regularly review the Terms posted to the Endeavor Health Digital Services.
